These Terms of Use contain an electronic agreement between the user (“you”), whether personally or on behalf of an entity, and STAG3, a company registered in Germany, regulating the terms and conditions of the User’s use of this website and all services, and products by STAG3.
By browsing the Website any Visitor acknowledges to have read and understood this Agreement and agree to be bound by its terms and conditions and to comply with this Agreement and all applicable laws and regulations. If any Visitor does not agree with these Agreement, the Visitor should refrain from using the Website.
If the Visitor is browsing the Website on behalf of a business or other entity, the Visitor represents and warrants that the Visitor has the necessary authority to bind that business or entity to the terms and conditions of this Agreement and that the Visitor is agreeing to this Agreement on behalf of that business or entity.
STAG3 shall have the right to unilaterally modify and/or update the terms and conditions of this Agreement at any time without notice. The continuous use of the Website by the Visitor shall be deemed as acceptance of this Agreement in the last and most updated version. Any Visitor shall periodically check the terms and conditions of this Agreement.
By making use of the Website, the Visitor acknowledges and agrees that: (1) The Visitor is aware of the risks associated with crypto-assets, including but not limited to cybersecurity risks and regulatory risks; (2) The Visitor shall assume all risks related to the use of the ST3-Token and crypto-assets transactions; and (3) STAG3 shall not be liable for any such risks or adverse outcomes.
The market value of crypto-assets may fluctuate significantly and there is a substantial risk of economic losses when purchasing, selling, or holding digital tokens.
It is understood and presumed that, before purchasing ST3-Tokens, the Participant has fully read, understood, and irrevocably accepted the terms and conditions of this Agreement. If any Participant does not agree with this Agreement in general or any part, such Participant should refrain from using the Website and/or purchasing ST3-Tokens.
1. Definitions and interpretations
1.1. The following terms, as used herein shall have the following meanings respectively unless inconsistent with the subject or context. Other capitalized terms may be defined elsewhere in this Agreement and, unless otherwise indicated, shall have such meaning throughout this Agreement.
1.2. “STAG3” or “STAG3 App” shall mean a social media platform as described according to clause 2.
1.3. “World stage” or “stage” stands for the main screen within the STAG3 app on which the posted image contributions of a user are displayed to all users.
1.4. ST3” or “ST3-Token” or “STAG3-Token” shall mean the native utility-type cryptographic digital tokens issued by STAG3.
1.5. “Utility Tokens” shall mean utility-type crypto-assets according to the definitions of (a) the “Guidelines for enquiries regarding the regulatory framework for initial coin offerings (ICOs)” issued by the Swiss financial regulator (FINMA) on 16 February 2018, (b) the “Report with advice for the European Commission on crypto-assets” issued by the European Banking Authority (EBA) on 9 January 2019, (c) the “Guidance on Crypto Assets: Feedback and Final Guidance to CP 19/3” issued by the British financial regulator (FCA) in July 2019, and (d) point n. 86 of the “Advice Initial Coin Offerings and Crypto-Assets” issued by the European Securities and Markets Authority (ESMA) on 9 January 2019.
1.6. “Services” shall mean the services described in clause 3.2., 3.3. and 3.4.
2. STAG3
2.1. STAG3 is a social media platform that is currently under development. The current state of development is represented by an accessible prototype, which illustrates the core functions of this platform. More about this in paragraph 4.
2.2. The core idea behind STAG3 is a single stage that presents one posting simultaneously and for a short duration to all active STAG3 users. This Stage is synchronized on all devices, all around the world at any time. In other words, the audience (= every user who views the Stage) sees the same posting contemporaneously.
2.3. The STAG3 digital ecosystem shall comprise the Website (whose domain name includes but is not limited to https://stag3.app), mobile applications, applets and other applications and/or web platforms that are developed to offer the Services, including independently-operated platforms, websites and projects within the ecosystem.
2.4. STAG3 is not a bank, a security firm, an asset manager, a portfolio manager or an investment advisor. STAG3 is not a financial institution or a financial service provider. STAG3 does not, and shall not at any time, give any financial advice whatsoever, including with regards to the purchase of digital tokens. Please note that the STAG3 is not acting as a financial institution or as a financial service provider, nor STAG3 is issuing or offering any security or financial instrument.
2.5. STAG3 is still under development. There is no guarantee of completion or success of the platform.
3. STAG3 Token (ST3-Token)
3.1. The ST3 token is a utility token and can be redeemed for services within the STAG3 app. The ST3 token can be used within the STAG3 app as follows:
3.2. Purchase advertising space ST3 can be used to purchase advertising space on STAG3. With the amount of 10 ST3-Token, advertisers can purchase ad impressions in worth of 100 USD in the STAG3 ecosystem.
3.3. Purchase time slots STAG3 users have the possibility to purchase preferred time windows for their postings with ST3-Tokens. With the amount of 10 ST3-Token, user can purchase preferred time slots for there postings in worth of 100 USD.
3.4. Staking for exclusive features A number of 500 ST3 tokens can be cold staked in the STAG3 app for a certain period of time. As a reward, the user gets a preferred posting time slot once a week and a visual label around their profile picture in the STAG3 app.
3.5. By accepting this Agreement and accessing STAG3, the Participant consents to STAG3’s right to stake its tokens. Within the framework of staking protocols, STAG3 locks the Participant’s tokens for an unspecified period of time, rendering them invisible in the Participant’s wallet and unable to be traded, withdrawn or otherwise disposed of, unless the Participant unstakes the tokens, which may result in additional costs and fees.
3.6. All ST3-Tokens redeemed for advertising space are burned, thus reducing the supply.
3.7. Note that there can be several reasons (e.g. the death of a team member, running out of financial resources, etc.) so that the STAG3 app cannot be finalized or published. There is no guarantee that the STAG3 App and therefore the infra structure required for the use of the ST3 token will be delivered or realized. If any of such risks and uncertainties develops into actual events, the business, financial condition, results of operations and prospects could be materially and adversely affected. In such cases, you may lose all or part of the value of ST3. In the event that you have purchased ST3, your purchase cannot be refunded or exchanged, nor is there the right to compensation.
3.8. Purchase of ST3 tokens: The Token Sale will be conducted on a decentralized exchange (DEX) via a smart contract. This contract will be visible and transparently disclose all conditions of the Token Sale. By participating in this Token Sale, you agree to the terms and conditions set forth in the Smart Contract. The Token Sale is planned for the second quarter of 2022. As soon as it starts, the address of the contract will be published on our website https://stag3.app and here in the Terms and Conditions.
4. Prototype
4.1. The STAG3 app prototype allows testing of some core functions and a first insight into the user experience of the platform.
4.2. By using and visiting the prototype, you agree to this contract. If you do not agree to this contract, access and use of the prototype is prohibited.
4.3. In order to publish your own contributions on the STAG3 app prototypes, you need to register/login for your own user profile using your own e-mail address.
4.4. You undertake to securely select any existing access data and not make them available to third parties. Telescope Apps cannot be held responsible for damage resulting from a breach of this obligation. In the event of suspected misuse, Telescope Apps is entitled to temporarily block access to the corresponding game, provided that you do not affect your license or property rights.
4.5. You undertake not to use, post, publish or link to material on a third party website that is bullying, threatening, harassing, insulting or defamatory, regardless of the group of people this material concerns.
4.6. You undertake no discriminatory content, political, immoral, pornographic, morally reprehensible, offensive, violent, violence-glorifying, sexist, right-wing or left-wing extremist content or against laws, in particular youth protection laws and the youth media protection treaty, to use, cease, publish or violate content to link to corresponding material on a third-party website or to advertise, offer or distribute such content or products that violate laws, in particular youth protection laws.
4.7. You undertake not to publish, reproduce, make publicly available or distribute any protected content, in particular to violate industrial property rights, to advertise, offer or distribute goods or services, to undertake or promote anti-competitive actions, other users to provide personal information To request data for commercial or illegal purposes or to provide access data, to organize or promote commercial activities and sales by third parties, to reproduce a picture of another person or to make it publicly available without the written consent of the person concerned or personal data and confidential Publish data without being authorized to do so.
4.8. A violation of these terms and conditions can represent an important reason within the meaning of these terms and conditions and lead to termination for an important reason. It is at the discretion of STAG3 to threaten or carry out measures of any kind in order to enable compliance with the above regulations. This includes, but is not limited to, issuing a virtual house ban, warning the user or excluding the user from individual functions.
5. Accounts and user data
5.1. With the conclusion of the contract and the use the Prototype, user content may be saved on the databases. This storage takes place in compliance with the data protection guidelines of STAG3.
5.2. You undertake to securely select any existing access data and not make them available to third parties. STAG3 cannot be held responsible for damage resulting from a breach of this obligation. In the event of suspected misuse, STAG3 is entitled to temporarily block access to the corresponding platform, provided that you do not affect your license or property rights.
